Welcome to Anviitech. These Terms of Service govern your access to and use of our web portal, custom software engineering services, consulting resources, and mobile applications developed by Anvi Itech Limited. By engaging our services, signing a Statement of Work (SOW), or utilizing our applications, you agree to comply with these terms.
01.Services & Statement of Work (SOW)
Anviitech provides professional custom software development, mobile application engineering, Dynamics 365 integration, and cloud architecture services.
- Scope: The exact parameters of deliverables, milestones, timeline, and fees will be defined in a mutually signed Statement of Work (SOW) or Service Agreement.
- Revisions & Changes: Any request to alter the scope of deliverables after project initiation is subject to a formal Change Request and may result in adjustments to project costs and deadlines.
02. Intellectual Property Rights
A. Deliverables & "Work for Hire"
Upon full payment of all outstanding invoices, ownership of the custom code, designs, and application assets built specifically for the client under a Statement of Work will transfer to the client.
B. Pre-existing Code & Libraries
Anviitech retains exclusive ownership of all pre-existing frameworks, design system boilerplates, internal components, APIs, and open-source modules utilized in building deliverables. Clients are granted a non-exclusive, royalty-free, perpetual license to use these libraries solely as embedded within the delivered software.
03.Service Uptime SLAs & Hosting Limitations
We strive for continuous service delivery matching our target metrics. However, terms governing hosting are subject to the following rules:
- Uptime Targets: Our standard target SLA for enterprise cloud systems hosted directly by Anviitech is 99.9% availability, excluding scheduled maintenance windows.
- Third-Party Outages: We rely on public cloud providers (such as Microsoft Azure and Firebase). Anviitech is not responsible or liable for downstream network outages, server delays, or data transmittal errors originating from these third-party cloud platforms.
04.Client Obligations & Access Keys
To maintain project velocity and system integrity, clients agree to:
- Provide timely assets, design guidelines, feedback, and backend API documentation required for engineering.
- Securely manage and guard all admin credentials, database connections, and API tokens generated during development. Anviitech is not liable for data breaches resulting from compromised client credentials.
05.Warranty Disclaimer & Liability Cap
"As-Is" Software Provision: Except as explicitly stated in a Service Agreement, all codebases, web applications, and mobile apps are provided on an "as-is" and "as-available" basis, without warranties of any kind.
Limitation of Damages: To the maximum extent permitted by law, Anviitech will not be liable for any indirect, incidental, special, or consequential damages—including loss of profits, telemetry data, or business interruption—arising from system usage or project delays. Our total liability for any claim under these terms is capped at the total amount paid by the client to Anviitech in the preceding 6 months.
06.Jurisdiction & Governing Law
These terms, and any Statements of Work issued under them, are governed by and construed in accordance with the laws of **Guernsey, Channel Islands**. Any disputes arising from these terms will be submitted to the exclusive jurisdiction of the courts of Guernsey.
